New Mexico LLC for Non-Residents: Cost, Pros & Cons (2027)

If you've researched US LLCs for more than ten minutes, you've probably seen New Mexico described as the "secret" state for non-residents.

The pitch is hard to ignore: a $50 filing fee, no annual report, no annual state fee and owners' names kept off public records. On paper, it's the cheapest LLC in America to keep alive.

Most of that is true. But if you're planning to form your LLC heading into 2027, there are a few trade-offs that formation companies rarely mention, especially around banking and timing. This guide covers everything about a New Mexico LLC for non-residents, so you can decide with clear eyes.

Why Non-Residents Choose New Mexico

1. It's Cheap to Form

Filing the Articles of Organization costs just $50, with a small extra convenience fee online. That's among the lowest formation fees in the US.

2. It's Cheap to Keep

This is New Mexico's real superpower. There is:

  • No annual report
  • No annual state fee
  • No franchise tax

Your only recurring state cost is your registered agent. Compare that with Wyoming, where you pay at least $60 every year (see our Wyoming LLC cost breakdown), or Delaware's $300 yearly tax.

3. Privacy by Default

New Mexico doesn't require members' or managers' names on the public formation documents. If you use a registered agent service, the only name on the public record is your agent's.

The Honest Downsides

Banks Can Be Hesitant

This is the big one. Some traditional bank branches are reluctant to onboard New Mexico LLCs owned by non-residents. The same privacy that makes New Mexico attractive can create extra questions during bank verification.

Online fintech banks are usually the practical route. Our guide to opening a Mercury bank account as a non-resident explains what they look for.

Anonymity Isn't Invisibility

Your name stays off public state records, but not off everything. The IRS, your bank and payment platforms still need to know exactly who owns your LLC. Privacy here means fewer strangers can look you up, not that you can hide ownership from regulators.

"No Annual Report" Can Make You Forget

With no state reminders, it's easy to forget your LLC has any yearly obligations. But federal filings still apply. A foreign-owned single-member LLC must file Form 5472 with a pro forma Form 1120 every year, even with zero income, and missing it costs $25,000. Our guide to foreign-owned LLC taxes explains what's required.

You May Need to Register Elsewhere

If your business physically operates in another state, such as having an office or employees there, you'll likely need to register in that state too, with its own fees.

New Mexico vs Wyoming vs Delaware

  • New Mexico: $50 to form, $0 yearly state fees, strong privacy, but some banks are cautious
  • Wyoming: a bit more to form, a small yearly fee, strong privacy, and widely accepted by banks
  • Delaware: higher yearly cost, best known by investors, and ideal if you plan to raise venture capital

How to Form a New Mexico LLC from India: Step by Step

Step 1: Choose Your LLC Name

Search the New Mexico Secretary of State's business database to confirm your name is available. It must include "LLC" or "Limited Liability Company."

Step 2: Appoint a Registered Agent

You need a registered agent with a physical street address in New Mexico, plus their signed Statement of Acceptance. As a non-resident, you'll use a registered agent service. Our guide on what an LLC registered agent does explains how to choose one.

Step 3: File the Articles of Organization

File online through the Secretary of State's portal and pay the $50 fee. Expedited processing is available for an extra fee.

Step 4: Create an Operating Agreement

New Mexico doesn't require you to file one, but banks often ask for it, and it documents that you own the LLC.

Step 5: Get Your EIN

Apply to the IRS for your LLC's Employer Identification Number. You don't need an SSN; our guide on getting an EIN without an SSN shows how.

Step 6: Open Your Business Bank Account

Apply with an online bank that supports non-resident founders, using your formation documents, EIN letter and passport.

Common mistake: Using your registered agent's address as your business address on bank applications. Many banks reject registered agent addresses, so use your real operating address instead.

Forming in Late 2026 or Early 2027?

Timing matters more than most founders realize. The IRS treats each calendar year separately, so an LLC formed even in late December 2026 generally owes a Form 5472 and pro forma 1120 for the 2026 tax year, due April 15, 2027.

Form in January 2027 instead, and your first federal filing generally covers the 2027 tax year, due April 15, 2028.

Pro tip: If you're forming near year-end with no urgent need, starting in January 2027 can save you one full year of filings. If you need the LLC now, for a client contract or a Stripe account, form it and simply plan ahead for the April 2027 filing.

Don't Forget the India Side

If you live in India, owning a US LLC usually counts as Overseas Direct Investment under FEMA, and your LLC's income must be reported in your Indian tax return. Our guide to ODI compliance for a US LLC from India explains what to file.
