Nevada LLC for Non-Residents from India: Cost, Steps & Requirements (2027)

A Nevada LLC for non-residents is possible without visiting the US or holding an SSN, but it is one of the more expensive states to keep alive. If you are an Indian founder choosing where to register your US company, this guide covers what a Nevada LLC costs, how to form one, what it needs each year, and when Wyoming or New Mexico may be the smarter choice.

Can a non-resident form a Nevada LLC?

Yes. Nevada does not require you to be a US citizen or resident to own an LLC. You can form the company online, and you do not need an SSN to file the formation documents.

What you do need is a registered agent with a physical Nevada address, an LLC name, and the names of at least one manager or member. Because you live in India, you will usually appoint a commercial registered agent. Read our guide on registered agents for non-residents before you choose one.

How much does a Nevada LLC cost?

Nevada bundles three state filings at formation:

  • Articles of Organization: $75
  • Initial List of Managers or Members: $150
  • State Business License: $200

That makes $425 in state fees to form the LLC. Some providers show about $436 because they add a small processing fee. On top of that, you pay a registered agent, which commonly costs a few hundred dollars a year or less depending on the provider.

Fees change, so confirm the current amounts on the Nevada Secretary of State website before you file.

Nevada LLC annual costs

Nevada's yearly cost is what surprises most founders. Every year you file an Annual List and renew the business license:

  • Annual List of Managers or Members: $150
  • State Business License renewal: $200
  • Total state cost each year: about $350

The deadline is the last day of your LLC's formation anniversary month. A late Annual List adds a $75 penalty, and reinstating a revoked LLC costs more. Add your registered agent fee and you can see why the cost of maintaining a Wyoming LLC looks cheaper by comparison.

Nevada also has a Commerce Tax, but it only applies to businesses with Nevada gross revenue above $4 million a year. Most early-stage Indian founders will not reach that.

Nevada vs Wyoming vs New Mexico vs Delaware

Here is how Nevada compares with the other states Indian founders ask about, using figures from our own guides:

Is a Nevada LLC a good choice for non-residents?

Nevada is often marketed for having no state income tax and for its business-friendly laws. For an Indian founder, those points matter less than they sound.

  • No state income tax does not remove your federal reporting duties or your Indian tax obligations. Read foreign-owned LLC taxes to see what still applies.
  • Nevada is not anonymous. The names of managers or members appear on state filings that are public. Do not assume that choosing Nevada hides your identity. If privacy matters, discuss your options with a qualified professional.
  • Higher recurring cost. If you run an online or service business from India and have no Nevada operations, you may pay more for no practical benefit.

Nevada can make sense when:

  • You or your partners plan to operate or hire in Nevada.
  • A US client, investor or partner specifically asks for a Nevada entity.
  • You have a reason for Nevada's legal framework and understand the extra cost.

Wyoming or New Mexico may be better when:

  • You are a freelancer, agency or online seller based in India.
  • You want the lowest yearly maintenance cost.
  • You do not need a Nevada presence.

Requirements to form a Nevada LLC from India

Prepare these before you start:

  1. A unique LLC name that ends with "LLC" and is available in Nevada.
  2. A Nevada registered agent with a physical address in the state.
  3. Manager or member details for the Initial List. Provide at least one name and address.
  4. A business license application with your business activity details.
  5. A valid ID, usually your passport, for your own records and later bank applications.

You do not need an SSN to form the company. You also do not need to travel to the US.

How to form a Nevada LLC step by step

  1. Choose your LLC name and check availability with the Nevada Secretary of State.
  2. Appoint a registered agent and get their Nevada address and consent.
  3. File the Articles of Organization through Nevada's online business portal, SilverFlume.
  4. File the Initial List and the State Business License application at the same time as your Articles. Nevada requires them as part of formation, so do not leave them for later.
  5. Pay the state fees. Online filings are usually processed within a few business days.
  6. Write your operating agreement. It is not filed with the state, but banks and platforms often ask for it. See what a single-member LLC operating agreement should include.
  7. Apply for your EIN. Non-residents without an SSN normally apply by fax or mail. Read EIN without SSN.
  8. Open a US business bank account. See opening a Mercury account as a non-resident.

Federal tax and reporting for a Nevada LLC owned from India

Forming in Nevada does not change your federal obligations. A foreign-owned single-member LLC generally has to file Form 5472 with a pro forma Form 1120 every year, and a missed filing can carry a $25,000 penalty. Read our full guide on 5472 and 1120 for foreign-owned LLCs.

You may also need to understand Indian rules for investing in an overseas company. See ODI compliance for a US LLC from India. This article is general information, so speak to a tax professional about your own situation.

Do you need a Nevada business license?

Yes. Nevada requires a State Business License for an LLC, and it is part of the formation process and the yearly renewal. Depending on what your business does, you may also need other licences. Read whether an LLC needs a business license for an overview.

Mistakes to avoid

  • Choosing Nevada only because it sounds attractive, without checking the $350 yearly cost.
  • Assuming Nevada filings are anonymous.
  • Missing the Annual List deadline and paying penalties.
  • Forgetting Form 5472 and the pro forma 1120.
  • Not appointing a reliable registered agent.
  • Operating in another state without checking whether you must register there. See do you need to register your LLC in another state.
