Wyoming LLC Annual Report: $60 Fee, Due Date & How to File (2027)
Wyoming is the favorite state of non-resident founders for good reason: low fees, strong privacy and simple rules. Its annual report is no exception. It costs $60, takes about ten minutes and can be filed from anywhere in the world.
But Wyoming has one rule that surprises people. It doesn't charge a late fee. Instead, if you're 60 days late, it simply dissolves your LLC.
This guide covers everything you need for your Wyoming LLC annual report in 2027: when it's due, what it costs, how to file it from India, and what to do if you've missed it.
What Is the Wyoming Annual Report?
It's a yearly filing with the Wyoming Secretary of State that confirms your LLC's basic details and pays its annual license tax. It keeps your LLC active and in good standing.
It isn't an income tax return. Wyoming has no state income tax, and the report doesn't ask about your profits.
Every Wyoming LLC files it, including inactive LLCs with no income, and so does every LLC from another state that's registered to do business in Wyoming.
When Is It Due?
Your report is due on the first day of your LLC's anniversary month every year, starting the year after you form.
For example, if your LLC was formed on March 20, 2026:
- First report due: March 1, 2027
- Delinquent from: March 2, 2027
- Dissolved if still unfiled: about April 30, 2027 (60 days after the due date)
Notice something? Your first report can be due less than a full year after formation, because the deadline is the first day of the month, not your exact formation date.
Pro tip: Find your formation month on your Articles of Organization, then set a reminder for the 1st of that month every year. Many founders set it two weeks earlier for safety.
How Much Does It Cost?
The annual report carries a license tax of whichever is greater:
- $60, or
- $0.0002 for every dollar of assets your LLC has located and used in Wyoming
For almost every non-resident founder, that's simply $60. You'd only pay more if your LLC holds more than $300,000 of assets physically in Wyoming. Your bank balance in a US fintech account or your clients in other states don't count as Wyoming assets.
Online filing adds a small card processing fee. If your license tax is ever above $500, the report must be filed by mail instead of online.

How to File Your Wyoming Annual Report from India
You can file online at WyoBiz, the Wyoming Secretary of State's business portal, in about ten minutes.
- Find your filing ID on your Articles of Organization, or search your LLC's name on WyoBiz.
- Open the annual report filing for your LLC.
- Confirm your LLC's details, including your principal address and registered agent.
- Enter your Wyoming assets. For most non-resident founders, this is $0, which means you pay the $60 minimum.
- Pay by card. International Visa and MasterCard cards are generally accepted.
- Save the confirmation with your company records.
Common mistake: Entering your total company assets instead of Wyoming assets. The tax only applies to assets located and used in Wyoming, so overstating them can mean paying more than you owe.
What Happens If You Miss It?
Wyoming's timeline is short and automatic:
- Day after the due date: your LLC becomes delinquent. There's no late fee; you still owe just $60.
- 60 days after the due date: the Secretary of State administratively dissolves your LLC.
A dissolved LLC loses its good standing and its right to do business. That can cause problems with your bank account, Stripe, contracts and clients asking for a Certificate of Good Standing.
How to Reinstate a Dissolved Wyoming LLC
You have two years from dissolution to reinstate your LLC. You'll pay:
- $100 reinstatement fee, if it was dissolved for an unpaid annual report
- All back license taxes, $60 minimum per missed year
If your LLC was dissolved because it had no registered agent, reinstatement costs $350 instead. That's one more reason to keep your agent active. Our guide to choosing a registered agent for non-residents explains what to look for.
After two years, reinstatement is no longer available, and you'd need to form a new LLC.
Don't Forget Your Federal Filings
The Wyoming annual report keeps your LLC alive with the state, but it has nothing to do with the IRS. If your LLC is single-member and foreign-owned, you must also file Form 5472 with a pro forma Form 1120 every year, due April 15, 2027 for the 2026 tax year. Missing it can cost $25,000. Our guide to foreign-owned LLC taxes explains what's required.
Pro tip: If your Wyoming anniversary month is March or April, your state report and IRS deadline land close together. Handle both in one sitting.
Still Choosing a State?
