Nevada LLC for Indian Founders: Cost, Fees & Is It Worth It? (2027)
A Nevada LLC for Indian founders is legal, easy to form remotely and has no state income tax. It is also one of the more expensive states to keep alive. Nevada costs $425 to form and $350 every year after that, which is far more than Wyoming or New Mexico. So it is a good choice for some founders and a poor one for many others.
This guide covers the real costs, what you can and cannot do from India, how Nevada compares with other states, and who should pick it.
Nevada LLC for Indian founders: the short answer
- Can an Indian resident own a Nevada LLC? Yes. You do not need to live in the US or hold a US visa. See our guide on whether a US LLC for Indian residents is legal.
- Do you need an SSN? No, not to form the LLC. You can also get an EIN without an SSN.
- Total cost to form: $425 in state fees, plus a registered agent.
- Yearly cost after that: $350 in state fees, plus your registered agent.
- State income tax: None. Your federal and Indian tax duties still apply.
How much does a Nevada LLC cost?
Nevada asks for three filings at the same time. This is why the real cost is much higher than the $75 some websites advertise.
| Item | Cost |
|---|---|
| Articles of Organization | $75 |
| Initial List of Managers or Members | $150 |
| State Business License | $200 |
| Total state fees at formation | $425 |
| Registered agent | Extra, varies by provider |
Each year you pay a $150 Annual List and a $200 State Business License renewal, which is $350 a year. Both are due by the last day of the month in which your LLC was formed.
Nevada also has a Commerce Tax, but it applies only to businesses with more than $4 million in gross revenue in Nevada. Most small online businesses never reach it.
Can you form a Nevada LLC from India?
Yes. The whole process can be done online with no US visit. You need:
- A unique LLC name that is available in Nevada.
- A Nevada registered agent. Every LLC needs a physical Nevada address for legal notices, and you cannot use your Indian address. Read what a registered agent does for non-residents before you choose one.
- Your details as member or manager, which go on the Initial List. Check what will appear on the public record before you file.
- The three state filings, submitted online through Nevada's SilverFlume portal.
After approval you draft an operating agreement (see our single-member LLC operating agreement guide), apply for your EIN, and open a bank account. Our Mercury account guide for non-residents walks through that step. For the full process, see how to start a US LLC from India.
Nevada vs Wyoming vs Delaware vs New Mexico
Cost is where Nevada loses most comparisons.
| State | Yearly state cost | Where to read more |
|---|---|---|
| Nevada | $350 (Annual List plus license) | This guide |
| Wyoming | $60 annual report fee | [Wyoming LLC annual report](/blog/wyoming-llc-annual-report) |
| Delaware | $400 franchise tax from 2027 | [Delaware LLC franchise tax](/blog/delaware-llc-franchise-tax) |
| New Mexico | No annual report | [New Mexico LLC for non-residents](/blog/new-mexico-llc-for-non-residents) |
If you mainly want a US company to invoice clients or accept payments, Wyoming or New Mexico will usually cost you far less each year. For a wider view, see our state comparison for Indian founders and Wyoming vs Delaware.
Pros of a Nevada LLC for Indian founders
- No state income tax on the LLC.
- Fully remote setup. No US visit and no SSN needed to form.
- A well-known state name, which some clients and partners like.
- A good fit if you will actually operate in Nevada, such as a local business, office or staff.
Cons of a Nevada LLC for Indian founders
- Higher yearly cost. $350 a year in state fees is several times what Wyoming charges.
- Two renewals every year, the Annual List and the business license, and missing either one brings late penalties.
- Public filings. Your Initial List and Annual List are state filings, so check what will be visible.
- No advantage on federal or Indian tax. The state you choose does not change your US federal filings or your Indian obligations.
Who should choose Nevada, and who should not
Choose Nevada if you will do real business in Nevada, an investor or partner asks for it, or you have a specific reason to prefer it.
Choose another state if you are a freelancer, agency, consultant, ecommerce seller or SaaS founder with no Nevada presence. You will usually pay less in Wyoming or New Mexico, or choose Delaware if you plan to raise venture capital.
If you form in one state but operate in another, you may also need to register there. Our guide on foreign qualification explains when.
Ongoing compliance after forming
State filings are only part of it. A foreign-owned Nevada LLC also has these duties:
- Federal filings. A foreign-owned single-member LLC generally files Form 5472 with a pro forma Form 1120 every year, even with no income. The penalty for missing it is $25,000. Read Form 5472 and 1120 for foreign-owned LLCs and our guide to foreign-owned LLC taxes.
- Beneficial ownership reporting. Rules have changed, so check the current position in our BOI filing guide for foreign-owned companies.
- Indian-side rules. Putting money into a US LLC from India can trigger FEMA and ODI requirements. See our ODI compliance guide.
- Nevada deadlines. Put the Annual List and license renewal dates in your calendar.
Is a Nevada LLC worth it for Indian founders?
For most Indian founders who run online or service businesses, Nevada is the more expensive route without a matching benefit. It makes sense when you have a real Nevada connection or a specific reason to choose it.
