Virginia LLC Annual Registration Fee: $50, Due Date & How to Pay (2026)
Good news first: Virginia LLCs don't file an annual report. No forms to fill in, no business details to update every year.
But don't celebrate too early. Instead of a report, Virginia charges a yearly fee, and if you miss it, the state doesn't just send reminders forever. It automatically cancels your LLC, with no court process and no extra warning at the end.
The Virginia LLC annual registration fee is $50, due by the last day of your LLC's anniversary month. It's one of the cheapest yearly costs in the U.S., and one of the easiest to forget when you're running your company from India. If you formed your LLC recently (our guide to LLC formation in Virginia covers that part), here's everything you need to know about keeping it alive.
What Is the Virginia LLC Annual Registration Fee?
It's a flat yearly payment to the Virginia State Corporation Commission (SCC), the agency that handles business filings in Virginia. Paying it keeps your LLC active and in good standing.
Corporations in Virginia file an annual report. LLCs don't, which is why searching for "Virginia LLC annual report" often leads to confusing results. For an LLC, the annual registration fee is the whole yearly requirement.
Who Has to Pay It?
- Domestic LLCs formed in Virginia
- Foreign LLCs formed in another state, such as Wyoming or Delaware, and registered to do business in Virginia
- Inactive LLCs with no income or activity
The fee is the same $50 for both domestic and foreign LLCs.
When Is the Fee Due?
The fee is due by the last day of your LLC's anniversary month, which is the month it was formed or registered in Virginia.
Your first payment is due in the year after formation. For example:
- LLC formed on June 10, 2026: first fee due by June 30, 2027
- LLC formed on January 17, 2026: first fee due by January 31, 2027
The SCC sends a Notice of Assessment about two months before your due date, and you can pay as soon as the fee is assessed.
Pro tip: That notice goes to your registered agent, not to you in India. Make sure your agent actually forwards state mail, or set your own reminder. Our guide on what an LLC registered agent does explains what a good agent should handle.
How Much Does It Cost?
The fee is a flat $50 per year, roughly the cost of a nice dinner out. For comparison:
- Virginia: $50 per year
- Wyoming: at least $60 per year
- Delaware: $300 per year

How to Pay the Virginia Annual Registration Fee Online
You can pay from India in about five minutes.
- Find your SCC ID. It's on your formation documents and on the assessment notice.
- Log in to the SCC's online portal, the Clerk's Information System (CIS), or create a free account.
- Search for your LLC and open its record.
- Select the annual registration fee for the current year.
- Pay $50 by card.
- Save the receipt with your company records.
You can also pay by mail using the assessment notice, but online is faster and confirms payment immediately.
What Happens If You Pay Late?
Virginia's timeline is short and automatic, so it's worth understanding exactly how it works. Here's what happens to an LLC with a June 30, 2026 due date:
- July 1 (one day late): A $25 penalty is added. You now owe $75. Your LLC is still active.
- The next three months: The SCC mails a notice about the penalty and upcoming cancellation, usually to your registered agent.
- September 30: If the fee is still unpaid, your LLC is automatically canceled.
A canceled LLC loses its good standing, and you can't get a Certificate of Good Standing for banks, payment platforms or clients. Your liability protection and contracts can also be put at risk while the LLC is canceled.
Common mistake: Thinking "it's only $50, I'll pay it later." The late penalty is small, but the three-month cancellation window passes quickly, especially if the notices are sitting with your registered agent.
How to Reinstate a Canceled Virginia LLC
If your LLC has already been canceled, you can bring it back within five years of cancellation:
- File Form LLC1050.4P (Application for Reinstatement) with the SCC
- Pay the $100 reinstatement fee
- Pay every unpaid annual registration fee and penalty
- Make sure your LLC has a qualifying Virginia registered agent on record
For an LLC that missed a single year, that usually adds up to about $175, or more than three years of on-time fees. After five years, reinstatement is no longer available.
Don't Forget Your Federal Filings
Paying Virginia's fee keeps your LLC alive with the state, but it doesn't cover your IRS obligations. If your LLC is single-member and foreign-owned, you likely also need to file Form 5472 with a pro forma Form 1120 every year, and missing it can cost $25,000. Our Form 5472 and 1120 filing guide explains what's required.
