Ohio Foreign LLC Registration: Cost, Steps & Requirements (2026)

Some states make expanding your LLC expensive and complicated. Ohio is refreshingly different.

Registering an out-of-state LLC in Ohio costs a one-time $99. After that, there's no annual report, no yearly state fee and, for most small businesses, no state franchise tax. For founders with a Wyoming or Delaware LLC who are starting to work with Ohio clients, hire there or open a location, that makes Ohio one of the easiest states to expand into.

This guide covers Ohio foreign LLC registration from start to finish: when you need it, how to file and what to keep up with afterward.

What Is a Foreign LLC in Ohio?

In U.S. business terms, "foreign" doesn't mean outside the U.S. It means formed in another state.

If your LLC was formed in Wyoming, Delaware or New Mexico and it starts doing business in Ohio, Ohio treats it as a foreign LLC. Before operating there, it must register with the Ohio Secretary of State. Your LLC stays formed in its home state; it simply gets permission to operate in Ohio too.

Do You Need to Register in Ohio?

Generally, your LLC needs to register if it's regularly doing business inside Ohio. Common signs include:

  • An office, warehouse or other physical location in Ohio
  • Employees working in Ohio
  • Managers or members running the business from Ohio
  • Ongoing, regular business carried out inside the state

On the other hand, simply having a few Ohio clients, selling online to Ohio customers, or doing occasional projects for an Ohio company while you're based in India usually doesn't count on its own.

Pro tip: Registration and taxes are separate questions. Even if you don't need to register, Ohio tax rules (such as sales tax on certain products) can still apply. If you're unsure, check before you start operating there.

How Much Does Ohio Foreign LLC Registration Cost?

Ohio keeps it simple:

  • Form 617 (Registration of a Foreign LLC): $99, one time
  • Expedited processing: optional, for an extra fee
  • Annual report: none
  • Yearly state fee: none
  • Changing your statutory agent later: $25 (Form 521)

Compare that with California, where every registered LLC pays at least $800 every year. In Ohio, the $99 filing fee is often the only state fee your LLC will ever pay to the Secretary of State.

What About the Commercial Activity Tax?

Ohio has a Commercial Activity Tax (CAT) instead of a corporate income tax. But since 2025, it only applies to businesses with more than $6 million in Ohio gross receipts, taxed at 0.26% on the amount above that. The old annual minimum tax ended in 2024.

If you've seen older guides mentioning a $150,000 threshold, that rule no longer applies. Most small and mid-size LLCs owe no CAT at all.

How to Register a Foreign LLC in Ohio: Step by Step

Step 1: Confirm Your LLC Is in Good Standing at Home

Your LLC should be active and compliant in its home state. If you've missed an annual report or fee there, fix that first.

Step 2: Check Your Name in Ohio

Your LLC's legal name must be available in Ohio. If another business already uses it, you may need to register a different name to operate under in Ohio.

Step 3: Appoint an Ohio Statutory Agent

Ohio calls a registered agent a statutory agent. Your agent must be either an Ohio resident or a business with an Ohio address, and they must sign to accept the appointment. You can't use an Indian address or a P.O. box. Our guide on what an LLC registered agent does explains how to choose a reliable one.

Step 4: File Form 617

Submit Form 617, Registration of a Foreign Limited Liability Company, to the Ohio Secretary of State, online or by mail, and pay the $99 fee. You'll provide your LLC's name, home state and statutory agent details.

Step 5: Register for Ohio Taxes, If Needed

Depending on what your business does in Ohio, you may need to register for sales tax, employer withholding or local municipal income tax. Many remote service businesses need none of these, but check before you start operating.

How Ohio Compares with Other States

Ohio's no-annual-report rule makes it unusual. Most states charge a yearly fee to keep a foreign LLC registered. For example, our Illinois foreign LLC registration guide shows how a neighboring state handles yearly filings.

What Happens If You Don't Register?

If your LLC is doing business in Ohio without registering, the biggest risk is legal: an unregistered foreign LLC can't sue in Ohio courts, even to collect an unpaid invoice or enforce a contract, until it registers. You may also face back fees and penalties when you finally do register.

Common mistake: Assuming "no annual report" means "nothing to maintain." You must keep a statutory agent at all times. If your agent resigns or your service lapses and you don't appoint a new one, your Ohio registration can be put at risk.

What If You Stop Doing Business in Ohio?

If you no longer operate in Ohio, withdraw your foreign registration with the Secretary of State, so the state doesn't keep treating your LLC as active there. If you formed your LLC directly in Ohio instead, the process is different; our guide on how to close or dissolve an LLC in Ohio walks through it.

Don't Forget Your Federal Filings

Ohio's light requirements don't reduce your IRS obligations. If your LLC is single-member and foreign-owned, you likely still need to file Form 5472 with a pro forma Form 1120 every year, and missing it can cost $25,000. Our Form 5472 and 1120 filing guide explains what's required.
