# Missouri LLC Registration: Cost, Requirements & Step-by-Step Guide

Missouri is an option for entrepreneurs looking to establish a US limited liability company. The state offers online LLC formation for $50, does not require LLCs to file an annual report, and allows flexible member-managed or manager-managed structures.

If you are planning to register a Missouri LLC, here is what you need to know about the filing process, costs, registered agent requirements, taxes, and ongoing compliance.

Missouri LLC Registration: Quick Facts

Operating agreementRecommended; not filed with the state

The online filing fee is generally the more economical option. Missouri's Secretary of State confirms the $50 online and $105 paper filing fees.

1. Choose a Name for Your Missouri LLC

The first step in Missouri LLC registration is selecting a company name.

Your proposed name must:

  • Be distinguishable from other business entity names registered in Missouri.
  • Include an approved designation such as LLC, L.L.C., LC, or Limited Liability Company.
  • Avoid restricted terms that could imply an unauthorized business activity or government affiliation.

You can search existing business names through the Missouri Secretary of State's business entity search.

Optional name reservation: If you are not ready to file, you can reserve an available name for 60 days by paying $25. Missouri permits two additional 60-day extensions, for a maximum reservation period of 180 days.

2. Appoint a Missouri Registered Agent

Every Missouri LLC must maintain a registered agent and a registered office in the state.

The registered agent receives important legal documents, government notices, and service of process on behalf of the company.

The registered agent can be:

  • An individual who resides in Missouri and has a business office at the registered office; or
  • An eligible business entity authorized to operate in Missouri.

The registered office must be a physical Missouri address. A registered agent's address is not automatically the company's principal business address.

For non-US founders: If you do not live in Missouri, you can generally use a professional Missouri registered agent service. You do not need to move to Missouri simply to appoint a registered agent.

3. Prepare and File the Articles of Organization

The Articles of Organization are the official formation document for a Missouri LLC.

You can file them online through the Missouri Secretary of State or submit the paper filing.

The filing requires information such as:

  • LLC's legal name.
  • Business purpose.
  • Registered agent's name and Missouri registered office address.
  • Whether the LLC is member-managed or manager-managed.
  • Duration of the LLC, which may be perpetual.
  • Name and physical business or residential address of each organizer.

An organizer is the person who signs and submits the formation document. Missouri allows an organizer to file even if that person will not become a member or manager.

Once the state accepts the Articles of Organization, your Missouri LLC is officially formed.

4. Create an Operating Agreement

Missouri does not require you to submit an operating agreement to the Secretary of State. However, preparing one is strongly recommended.

An operating agreement explains how the LLC will be owned, managed, and operated.

It should generally cover:

  • Member names and ownership percentages.
  • Initial capital contributions.
  • Profit and loss allocation.
  • Management authority.
  • Voting rights.
  • Member withdrawals and transfers.
  • Dissolution procedures.

For a single-member LLC, the agreement helps document ownership and the company's internal operating rules. For a multi-member LLC, it can help prevent disagreements.

Keep the signed agreement with your company records. Do not submit it as part of the state formation filing.

5. Obtain an EIN from the IRS

After formation, determine whether your LLC needs an Employer Identification Number (EIN).

An EIN is a federal tax identification number used for tax administration, banking, hiring employees, and other business activities.

Foreign founders can apply for an EIN even if they do not have a US Social Security Number.

Depending on the applicant's eligibility and circumstances, the IRS allows international applicants to apply through its telephone, fax, or mail procedures.

An EIN is different from the Missouri LLC registration number. The Secretary of State issues the state entity registration information; the IRS issues the EIN.

6. Understand Missouri LLC Taxes

Registering an LLC in Missouri does not automatically mean that every LLC owes the same state taxes.

Tax obligations depend on the LLC's federal tax classification, business activities, income, employees, and applicable state tax rules.

Federal taxes

For federal tax purposes, a domestic single-member LLC is generally treated as a disregarded entity unless it elects corporate taxation.

A multi-member LLC is generally treated as a partnership unless it makes a different tax election.

An LLC taxed as a corporation follows the applicable corporate tax filing rules.

Foreign-owned LLCs may have additional IRS information-reporting obligations. For example, certain foreign-owned single-member disregarded entities must file Form 5472 with a pro forma Form 1120 when reportable transactions exist.

Missouri sales tax

If your business sells taxable tangible personal property or taxable services in Missouri, you may need to register with the Missouri Department of Revenue and obtain a sales tax license.

Sales tax obligations depend on the nature of the products or services and applicable nexus rules.

Employer withholding tax

If your LLC hires employees and is required to withhold Missouri income tax, it must register for the relevant withholding tax obligations.

Corporate income tax

An LLC taxed as a corporation may have Missouri corporate income tax filing obligations if the applicable requirements are met.

Important: Forming an LLC in Missouri does not automatically make all business income taxable in Missouri. Your actual business activities, tax classification, income sources, and nexus determine the applicable obligations.

7. Does Missouri Require an LLC Annual Report?

One of Missouri's notable advantages is that Missouri LLCs are not required to file an annual report with the Secretary of State.

This is different from many other states that require LLCs to submit annual or biennial reports and pay recurring state filing fees.

However, no annual report does not mean no ongoing compliance.

You must still:

  • Maintain an active Missouri registered agent.
  • Keep company and ownership records updated.
  • File applicable federal and state tax returns.
  • Maintain required sales tax or employer registrations.
  • Update the Secretary of State when required company information changes.

State tax filings and registered agent renewal fees, if applicable, are separate from an annual report.

8. Can a Non-US Resident Register a Missouri LLC?

Yes. A non-US resident can generally form a Missouri LLC without being a US citizen or permanent resident.

Missouri's formation requirements focus on the company's filing information, registered agent, and other statutory requirements—not US citizenship of the owner.

A non-US founder should generally prepare:

  • Proposed LLC name.
  • Member and ownership details.
  • Organizer information and physical address.
  • Missouri registered agent details.
  • Business purpose.
  • Operating agreement.
  • EIN application information.

You do not need to travel to Missouri simply to file the Articles of Organization.

However, forming a US LLC does not automatically provide a US visa, work authorization, tax exemption, or approval for a US bank account.

9. Missouri LLC Registration vs. Registering an Existing Out-of-State LLC

There is an important difference between forming a new Missouri LLC and registering an LLC that already exists in another state.

New Missouri LLC: If you are creating a company in Missouri for the first time, you generally file Missouri Articles of Organization.

Existing out-of-state LLC: If your company was formed in Delaware, Wyoming, or another jurisdiction and now intends to conduct business in Missouri, you may need to register it as a foreign LLC with the Missouri Secretary of State.

Foreign registration does not create a second LLC. It authorizes an existing out-of-state entity to conduct business in Missouri, subject to applicable state requirements.

Do not automatically form a second LLC just because your business expands into Missouri. First determine whether foreign qualification is required.

Missouri LLC Registration Checklist

Before submitting your application, review the following:

  • Confirm the LLC name is available.
  • Choose a Missouri registered agent.
  • Decide whether the LLC will be member-managed or manager-managed.
  • Prepare the organizer's required information.
  • File the Articles of Organization.
  • Save the state's approval and formation records.
  • Prepare an operating agreement.
  • Apply for an EIN where required.
  • Review federal and Missouri tax obligations.
  • Complete any applicable sales tax or employer registrations.

Final Thoughts

Missouri LLC registration is relatively straightforward. The state charges $50 for online formation, requires a Missouri registered agent, and does not require LLCs to file an annual report.

For non-US entrepreneurs, Missouri can be considered as one of several possible formation jurisdictions. However, the best state depends on where the business actually operates, its tax situation, and its long-term requirements—not simply the initial formation fee.

Before registering, compare Missouri with other states and understand the ongoing federal and state compliance obligations.
