Michigan LLC Annual Statement: Due Date, $25 Fee & Filing Guide (2026)

If you've been searching for your "Michigan LLC annual report" and found nothing that looks like one, here's why: Michigan doesn't call it that. In Michigan, LLCs file an annual statement, and it's one of the cheapest, simplest compliance filings in the country.

The Michigan LLC annual statement costs just $25, it's due every February 15, and it takes about ten minutes online. But cheap and simple also makes it easy to forget, especially when you're running your company from India and the deadline arrives in the middle of a Michigan winter you'll never see.

If you've recently formed your company (our guide to LLC registration in Michigan walks through that part), this is the yearly filing that keeps it in good standing.

What Is the Michigan LLC Annual Statement?

It's a short yearly filing with the Michigan Department of Licensing and Regulatory Affairs (LARA), Corporations Division. It confirms that the state has your LLC's current details, such as its name, registered office and resident agent.

There's no revenue, profit or tax information on it. It is not a tax return, just a yearly "we're still here" check-in with the state.

Quick naming guide: Corporations file an annual report, LLCs file an annual statement, and professional LLCs (PLLCs) file both together at a higher fee. If yours is a regular LLC, the annual statement is all you need.

Who Needs to File?

Every LLC registered with LARA must file, including:

  • Domestic LLCs formed in Michigan
  • Foreign LLCs formed in another state, such as Wyoming or Delaware, and registered to do business in Michigan
  • Inactive LLCs with no income or activity during the year

If your LLC exists on the state's records, the statement is due, whether you made $50,000 or nothing at all.

When Is the Michigan LLC Annual Statement Due?

The deadline is February 15 every year, the same date for every LLC. Online filing opens on October 15 of the previous year, so you can finish it months early and forget about it.

The September 30 Rule

Your first statement is due on the February 15 after your LLC is formed, with one helpful exception: if your LLC is formed after September 30, you skip the very next February 15.

  • Formed on May 12, 2026: first statement due February 15, 2027
  • Formed on October 20, 2026: first statement due February 15, 2028

Founders who form late in the year get a little extra breathing room before their first filing.

Pro tip: LARA sends reminder notices about 90 days before the due date to your registered office. If you live in India, that's usually your registered agent's address, so make sure your agent actually forwards state mail to you. Our guide on what an LLC registered agent does explains what to expect from a good one.

How Much Does It Cost?

The fee is a flat $25 per year for both domestic and foreign LLCs. That's among the lowest in the U.S. For comparison, a Wyoming LLC pays at least $60 every year (see our Wyoming LLC cost breakdown), and Maryland charges $300.

Just remember that a low state fee isn't the same as a low total cost. Registered agent fees and federal filings are still part of your yearly budget.

How to File Your Michigan LLC Annual Statement Online

You can complete the whole process from India in about ten minutes.

  1. Find your LLC's ID number. It's on your approval documents, or you can look it up with LARA's business entity search.
  2. Log in to LARA's online business filing portal, or create a free account.
  3. Search for your LLC and choose the option to file the annual statement.
  4. Confirm your details, especially the resident agent and registered office.
  5. Pay the $25 fee by card.
  6. Save the confirmation with your company records.

Common mistake: Assuming your registered agent files the statement for you. Most agents only receive mail on your behalf. Unless your package clearly includes annual filings, the statement is your responsibility.

What Happens If You File Late?

Here's the good news: a regular Michigan LLC doesn't pay a late fee. If you file on February 20 instead of February 15, you still pay just $25. (PLLCs are different and do pay a $50 late penalty.)

Here's the catch: if you keep ignoring it, your LLC loses good standing after a two-year grace period. That causes real problems:

  • You can't get a Certificate of Good Standing, which banks, payment platforms and some clients ask for.
  • You can't simply close the company. An LLC that isn't in good standing must restore it before filing for dissolution.

To fix it, you file a Certificate of Restoration of Good Standing for $50, plus $25 for every missing statement, plus the current year's $25 if you're filing on or after February 15. It's not a disaster, but it's paperwork you can easily avoid.

Don't Forget Your Federal Filings

The annual statement is a state filing only. If your LLC is single-member and foreign-owned, the IRS likely also expects Form 5472 with a pro forma Form 1120 every year, and missing it can cost $25,000, which is a thousand times the Michigan fee. Our Form 5472 and 1120 filing guide explains who needs to file and by when.

A regular LLC pays no late fee, just the $25 statement. PLLCs pay a $50 late penalty. Ignoring it for two years leads to loss of good standing.
