Maryland LLC Annual Report: Due Date, $300 Fee & Filing Guide (2026)

Maryland state outline with a calendar marking the April deadline, a laptop and business documents, representing the Maryland LLC annual report

You formed your Maryland LLC, got your EIN without an SSN, opened a U.S. bank account and started invoicing clients. Life is good. Then April rolls around, and a fellow founder asks: "Did you file your Maryland annual report?"

If your honest answer is "my what?", don't worry. You're not the first, and this guide will sort it out in about five minutes.

The Maryland LLC annual report is a yearly filing every LLC in the state must submit to stay in good standing. It costs $300, it's due on April 15, and it applies even if your LLC didn't earn a single dollar. Forming the company was step one (our guide to LLC registration in Maryland covers that). Staying compliant every year is step two, and for founders running a Maryland LLC from India, it's one of the easiest deadlines to miss.

What Is the Maryland LLC Annual Report?

Maryland does things a little differently from most states. Instead of the Secretary of State, annual reports go to the State Department of Assessments and Taxation (SDAT).

The filing is called Form 1, and it's actually two filings in one:

  • The annual report, which confirms your LLC's basic details with the state
  • The business personal property return, which tells the state about any business property your LLC owns in Maryland, such as equipment, furniture or inventory

Most Indian founders running a remote LLC own no property in Maryland. That's fine. You still file Form 1; you simply report that there's nothing to declare.

Who Needs to File?

Every LLC on SDAT's records must file, including:

  • Domestic LLCs formed in Maryland
  • Foreign LLCs formed in another state and registered to do business in Maryland. Many founders form in Wyoming or Delaware first (see our Wyoming vs Delaware comparison) and later register in Maryland when they start operating there
  • Inactive LLCs with no income, no property and no activity during the year

That last point catches many founders off guard. "I didn't do any business this year" is not an exemption. If your LLC exists on the state's books, the report is due.

Maryland LLC Annual Report Due Date

The deadline is April 15 every year, and it's the same date for every LLC. Maryland doesn't use your formation anniversary, so it doesn't matter whether you formed in January or December.

Your first report is due the year after your LLC is formed. If your LLC was approved in 2026, your first annual report is due by April 15, 2027.

Pro tip: April 15 is also the IRS deadline for Form 5472 and pro forma Form 1120, which most single-member foreign-owned LLCs must file. Put both in your calendar with a reminder in mid-March so you're never scrambling.

Need More Time? Request an Extension

SDAT allows a 60-day extension, which pushed the 2026 deadline to June 15. There's a catch: you must request it online before April 15. Ask on April 16 and it's too late.

How Much Does It Cost?

The Maryland LLC annual report fee is a flat $300 per year.

That's on the higher side. Many states charge between $0 and $100, which is why Maryland is rarely the first choice for non-resident founders. If you're still deciding where to form, our guide to the best state to form an LLC from India compares yearly costs side by side.

Two things to keep in mind:

  • The $300 is a state filing fee, not an income tax. Maryland doesn't charge a separate franchise tax on LLCs.
  • If your LLC owns business property in Maryland, the county may assess local personal property tax later. That's separate from the $300.

How to File Your Maryland LLC Annual Report Online

Filing takes about 15 minutes, and you can do it entirely from India.

  1. Find your SDAT ID. It's the department ID number on your formation documents, usually starting with a letter.
  2. Go to Maryland Business Express, the state's online filing portal, and log in or create an account.
  3. Select the annual report for your LLC and the correct filing year.
  4. Review your LLC's details, including the principal office and resident agent.
  5. Complete the personal property section. If your LLC owns no business property in Maryland, report none.
  6. Pay the $300 fee online by card.
  7. Save your confirmation. Download the receipt and keep it with your company records.

Common mistake: Typing a new address into the annual report doesn't officially change your principal office or resident agent. Those changes need a separate filing with SDAT. If your agent has changed, read our guide on what an LLC registered agent does first.

What Happens If You Miss the Deadline?

Maryland doesn't charge a flat late fee. Instead, a late filing triggers a penalty based on your property assessment, plus interest that grows every 30 days. If your LLC owns no property, the penalty itself may be small, but money isn't the real danger.

The real danger is your LLC's status. If the report stays unfiled:

  1. Your LLC is marked "Not in Good Standing." Banks, payment processors and clients may ask for a Certificate of Good Standing, and you won't be able to get one.
  2. Eventually, SDAT forfeits your LLC's right to do business in Maryland. That can affect your ability to enforce contracts and may put your liability protection at risk.
  3. To fix it, you'll need to file Articles of Revival ($100) and pay every missed annual report fee.

In short, skipping a $300 filing can turn into a much bigger and more stressful bill.

Don't Forget Your Federal Filings

The Maryland annual report is a state filing. It does not replace your IRS obligations. If your LLC is single-member and foreign-owned, missing Form 5472 can mean a $25,000 penalty, which is far more than any state fee. Treat your state and federal deadlines as one yearly checklist, not two separate jobs.
