Louisiana LLC Annual Report: Due Date, $35 Fee & Filing Guide (2026)

If you read a guide that says the Louisiana annual report costs $30, it's already out of date.

On October 1, 2026, Louisiana raised several business filing fees, and the Louisiana LLC annual report now costs $35. It's still one of the more affordable yearly filings in the U.S., but the deadline works a little differently from most states, and the consequences of ignoring it build up quietly over time.

Here's everything you need to know to keep your Louisiana LLC in good standing, especially if you're running it from India.

What Is the Louisiana LLC Annual Report?

It's a short yearly filing with the Louisiana Secretary of State. It confirms your LLC's current details, such as its addresses, registered agent and the people who manage it.

There's no income or tax information on it. It's not a tax return, just a yearly confirmation that your LLC is still active and its information is correct.

Who Has to File?

  • Domestic LLCs formed in Louisiana
  • Foreign LLCs formed in another state, such as Wyoming or Delaware, and registered to do business in Louisiana
  • Inactive LLCs with no income or activity

If your LLC is on the Secretary of State's records, the report is due, whether or not you did any business that year.

When Is the Louisiana Annual Report Due?

Louisiana doesn't use one statewide deadline. Your report is due on or before your LLC's anniversary date every year.

  • For a domestic LLC, that's the anniversary of its formation.
  • For a foreign LLC, it's the anniversary of its registration in Louisiana.

Your first report is due on your first anniversary. For example, an LLC formed on October 10, 2026 files its first report by October 10, 2027.

The filing opens about 30 days before your due date, and the state usually sends email or text reminders around that time.

Pro tip: Those reminders go to the contact details on file, which may be your registered agent or formation service, not you. Add your anniversary date to your own calendar on day one. Our guide on what an LLC registered agent does explains what your agent should and shouldn't handle.

How Much Does It Cost?

The fee is $35 per year, up from $30 before October 1, 2026.

That's still on the affordable side. For comparison, a Wyoming LLC pays at least $60 every year (see our Wyoming LLC cost breakdown). If you're still deciding where to form, our guide to the best state to form an LLC from India compares the yearly costs of popular states.

Remember that the state fee is only one part of your yearly costs, alongside registered agent fees and federal tax filings.

How to File Your Louisiana LLC Annual Report Online

Louisiana's online portal is called geauxBIZ (pronounced "go biz"). You can file from India in about ten minutes.

  1. Create a geauxBIZ account, or log in if you already have one.
  2. Search for your LLC by name or charter number.
  3. Open the annual report once the filing window opens, about 30 days before your anniversary.
  4. Review your details, including your addresses, registered agent, and members or managers.
  5. Pay the $35 fee by card.
  6. Save the confirmation with your company records.

You can also file by mail, but online is faster and confirms your filing immediately.

Common mistake: Updating your registered agent only on the annual report. If your agent has changed, make sure the change is properly recorded with the Secretary of State, not just typed into a yearly form.

What Happens If You Miss the Deadline?

Louisiana is fairly forgiving at first, but don't mistake that for "optional."

Right After the Due Date

There's no late fee. But your LLC is immediately marked not in good standing. That means you can't get a Certificate of Good Standing, which banks, payment platforms and some clients may ask for.

After Three Missed Years

If your LLC fails to file for three consecutive years, the Secretary of State sends a notice of intent to revoke, then revokes your LLC's articles of organization at least 30 days later. A revoked LLC can no longer legally operate as a company.

Foreign LLCs don't get the same three-year runway and can face consequences much sooner, so file every report on time.

How to Reinstate a Revoked LLC

You have three years from revocation to bring your LLC back. File a reinstatement application along with the current annual report, and pay:

  • $125 reinstatement fee for a Louisiana LLC
  • $185 reinstatement fee for a foreign LLC
  • Plus the current annual report fee

Reinstatement is retroactive, meaning the state treats your LLC as if it had never been revoked. Still, it costs several years' worth of on-time filings.

Don't Forget Your Federal Filings

Louisiana's annual report keeps your LLC active with the state, but it doesn't cover your IRS obligations. If your LLC is single-member and foreign-owned, you likely also need to file Form 5472 with a pro forma Form 1120 every year, and missing it can cost $25,000. Our Form 5472 and 1120 filing guide explains what's required and when.
