Florida LLC Annual Report: $138.75 Fee, May 1 Deadline & Filing Guide (2027)

Florida is one of the most popular states for US businesses, and one of the strictest about deadlines.

Every Florida LLC must file an annual report each spring. File on time and it costs $138.75. File one day late and the bill jumps to $538.75, because Florida adds a $400 late fee that can't be waived. No warnings, no grace period.

The good news: the Florida LLC annual report takes about 15 minutes online, and you can file it from India in one sitting. Here's everything you need to know for the 2027 filing season.

What Is the Florida LLC Annual Report?

It's a yearly filing with the Florida Division of Corporations, done online through its website, Sunbiz. It confirms your LLC's current information, including:

  • Principal office and mailing addresses
  • Registered agent
  • Managers or authorized members
  • Federal Employer Identification Number (EIN)

It's not a tax return. It simply keeps your LLC's public record accurate and your company active.

Who Has to File?

  • Domestic LLCs formed in Florida
  • Foreign LLCs formed in another state and registered to do business in Florida (our guide to Florida foreign LLC registration explains when that's needed)
  • Inactive LLCs with no income or activity

If your LLC is on Florida's records, the report is due, whether you made money or not.

When Is the Florida Annual Report Due in 2027?

The filing window opens on January 1 and closes on May 1 every year.

Your first report is due in the year after your LLC is formed. For example, an LLC approved on June 10, 2026 files its first report between January 1 and May 1, 2027.

Pro tip: May 1, 2027 falls on a Saturday. Don't plan to file over that weekend; file in January or February instead. There's no benefit to waiting, and filing early removes all risk of the $400 penalty.

How Much Does It Cost?

  • On time (January 1 to May 1): $138.75
  • Late (after May 1): $138.75 + $400 = $538.75

That makes Florida's yearly cost higher than many states. For comparison, a Wyoming LLC pays at least $60 a year (see our Wyoming LLC cost breakdown). Florida's fee is predictable, though: it's the same $138.75 for every LLC, regardless of revenue.

How to File Your Florida LLC Annual Report on Sunbiz

You can file from India in about 15 minutes.

  1. Go to Sunbiz and open the annual report filing page.
  2. Enter your LLC's document number, found on your formation paperwork or by searching your LLC on Sunbiz.
  3. Review your details: addresses, registered agent and managers or members.
  4. Enter your EIN. If you've misplaced it, our guide to the EIN verification letter 147C explains how to get official proof from the IRS.
  5. Sign electronically by typing your name.
  6. Pay $138.75 by credit or debit card.
  7. Save your confirmation and check that your LLC's status shows "Active" on Sunbiz.

Common mistake: Changing your registered agent on the annual report without the new agent's consent. If you're switching agents, make sure the new one has agreed to serve. Our guide on what an LLC registered agent does explains their role.

Watch Out for Look-Alike Letters

Every year, Florida business owners receive official-looking letters asking them to pay $100 or more to "file their annual report" or buy a "certificate of status."

Many of these come from private companies, not the state. The only official way to file is through Sunbiz, for $138.75. If a letter asks you to pay more or to send money somewhere else, check carefully before paying.

What Happens If You Miss the Deadline?

Florida's timeline for 2027 looks like this:

  1. May 2, 2027 onward: a $400 late fee is added automatically. You now owe $538.75, even if you never received a reminder.
  2. Friday, September 17, 2027: the last day to file before dissolution (the third Friday in September).
  3. Friday, September 24, 2027: unfiled LLCs are administratively dissolved at the close of business.

A dissolved LLC loses its active status. That can affect your bank account, payment platforms, contracts and ability to get a certificate of status.

How to Reinstate a Dissolved Florida LLC

If your LLC has already been dissolved, you can bring it back by filing a Reinstatement Application on Sunbiz and paying:

  • A $100 reinstatement fee
  • $138.75 for each missed annual report year

Reinstatement is retroactive, meaning Florida treats your LLC as if it had never been dissolved. Still, it's extra paperwork and stress that one on-time filing would have avoided.

Common mistake: Deliberately letting your LLC be dissolved to "save" money. Dissolution can freeze bank accounts, disrupt payment platforms and affect contracts, so the risk is rarely worth it.

Don't Forget Your Federal Filings

The Florida annual report keeps your LLC active with the state, but it doesn't cover your IRS obligations. If your LLC is single-member and foreign-owned, it must also file Form 5472 with a pro forma Form 1120 every year, due April 15, 2027 for the 2026 tax year. Our guide to foreign-owned LLC taxes explains what's required.

Pro tip: Your federal filing (April 15) and Florida annual report (May 1) are only two weeks apart. Handle both together each spring.
